Legal
Terms of service
These terms govern your use of thydarkhour.com and any project you engage Thy Dark Hour Systems OPC Pvt. Ltd. ("TDH Systems", "we", "us", "our") to do. Each project is also governed by the quote you accept online, with its project terms, or by an agreement we both sign. Where those say something different from these terms, they apply to that project.
In short
- A project starts when you accept our quote online or sign an agreement with us.
- Changes in scope are quoted separately, as change orders, and start once you accept them.
- You pay as set out in your quote: bank transfer, UPI, international wire, or card where an invoice offers it.
- The work is yours once it is paid for.
- Indian law applies, and the courts at Udaipur have jurisdiction.
This summary is here to help. The full terms below are what apply.

Our services
We plan, build, install and support work in these areas:
- software and systems
- websites and brand
- business email and private cloud
- home and space automation, including the supply and installation of devices
- space design and 3D visualisation
- post-production
We work with businesses and with individuals. The scope, deliverables, timeline and price of each project are set out in your quote. Descriptions on this website are general, and are not an offer on their own.
Some work is done with trusted collaborators, for example colour grading in post-production, or electrical work by a licensed electrician. We stay responsible to you for everything in your quote.
Quotes and change orders
Every project starts with a written quote. It sets out the work, marks each line as fixed or estimate, and states the price, the payment stages and the date until which the quote is valid.
A quote becomes binding when you accept it. If your quote asks for a deposit, work starts once the deposit reaches us.
If the scope changes after you accept, we send a change order: a separate quote that you accept in the same way as the original. Work on a change order starts once you accept it.
Accepting a quote online
Each quote has its own private page. To accept it, you type your name and tick the box to agree to the quote and its project terms. If something in the quote is not right, you can ask for changes instead, and we send a revised version.
When you accept, we record the time, your IP address, your browser and a digital fingerprint of the exact quote you accepted. We then email a PDF of the accepted quote to you and to us.
Accepting a quote this way binds you and us in the same way as a signature. If you accept on behalf of a business, you confirm that you are authorised to do so.
Fees and payment
Fees are as set out in your accepted quote. Quotes and invoices are in INR or USD, as quoted. Invoices are due within the period stated on them, and each invoice shows the ways you can pay it:
- Bank transfer
- NEFT, RTGS or IMPS, in INR.
- UPI
- In INR.
- International wire
- SWIFT transfer, in USD.
- Card
- Through our payment gateway, where an invoice offers it.
- Bank charges. You cover your own bank's charges and any intermediary bank's charges, so that the full invoice amount reaches us.
- Estimated items. Lines marked estimate are billed at the quoted rate on actual use. If an estimated item looks set to come in more than 10% above its estimate, we check with you before going further.
- TDS. If you deduct tax at source, send us the TDS certificate once it is issued.
- Taxes. Our fees do not include taxes. Taxes such as GST are added where they apply.
- Late payment. We may pause work on an overdue invoice after giving you notice.
- Our bank details. They only ever appear on your invoice. We never change them by email.
Devices we supply
Where your quote includes devices, such as switches, sensors, cameras or controllers, we supply them as part of the project.
- The manufacturer's warranty passes through to you, and we help you make a claim under it.
- Installation covers what is set out in your quote.
- Mains and other electrical work is done by a licensed electrician.
- Where no product does the job, we may build custom hardware for you. Its warranty and support are as set out in your quote.
- Devices are yours once they are paid for.
How devices reach you is covered in our delivery policy, and returns in our cancellation and refund policy.
Your responsibilities
To do good work on time, we need your help. You agree to give us the information, access, material and feedback we reasonably need, in good time. For installation work, that includes safe access to the site at the times we agree.
You confirm that you have the rights to any material you send us, and that our using it for your project does not infringe anyone else's rights.
Ownership
Once every invoice for a project is paid in full, the deliverables we made for you under it are yours.
We keep ownership of our pre-existing tools, code, templates and know-how, and of general work that is not specific to your project. Where any of it is part of your deliverables, we give you a non-exclusive, perpetual licence to use it with them.
We show work we did for you, for example in our portfolio, only with your permission.
Confidentiality
We treat the non-public information you share with us as confidential and use it only to do the work. We expect the same of you for any non-public information we share with you. This continues after the project ends.
Support
For help with anything we delivered or installed, email info@thydarkhour.com. We reply within one to two business days. The support included with a project is as set out in your quote. Support beyond that is quoted separately.
Warranties
We do our work with reasonable skill and care. Devices we supply carry their manufacturer's warranty.
Beyond that, and to the extent the law allows, the website and our services are provided "as is" and "as available", without other warranties, express or implied. We do not promise that the website will always be available or free of errors.
Limitation of liability
To the extent the law allows, our total liability arising out of or in connection with a project is limited to the fees you paid us for that project. We are not liable for indirect or consequential losses, or for loss of profit, revenue, data or goodwill. Nothing in these terms limits liability that cannot be limited by law.
Cancellation and termination
Either of us may end a project as set out in your accepted quote or a signed agreement, or otherwise on reasonable written notice. When a project ends, you pay for the work done and the costs committed up to that point, including devices already ordered for you.
Cancellations and refunds are covered in our cancellation and refund policy.
Governing law and disputes
These terms, and every accepted quote or signed agreement, are governed by the laws of India. If a dispute comes up, we will first try to settle it by talking it through with you.
The courts at Udaipur, Rajasthan have jurisdiction over any dispute, subject to any dispute resolution process set out in your accepted quote or a signed agreement.
Changes to these terms
We may update these terms from time to time. The date at the top of this page shows when they last changed.
The version in force when you accept a quote applies to that engagement. Your use of the website after a change is governed by the updated terms.
Questions
If anything here is unclear, ask us before you accept a quote. We would rather you understand the terms than agree to them blind.
